1. Acceptance of Terms

By accessing or using the Platform, including its website, browser extension, mobile application, or related services (collectively, the “Service”), you agree to be legally bound by these Terms of Use (“Terms”).

If you do not agree, you must discontinue use immediately.

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, whichever is higher, to use the Service.

Nothing in these Terms limits mandatory consumer rights under applicable law.

2. Electronic Communications

By using the Service, you consent to receive communications from us electronically, including via email, in-app notifications, or postings within the Service.

You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.

You are responsible for maintaining accurate contact information and reviewing communications sent to you.

3. Nature of the Service

The Service provides shopping assistance tools, including:

  • Providing, identifying, recommending, and, where technically supported and initiated by user interaction, automatically testing available promotional codes during the checkout process.
  • Cash back and reward opportunities
  • Price comparison insights
  • Optional premium membership features (Coupert Plus)

The Platform operates as a promotional and affiliate-based marketing service.

4. Account Registration and Security
4.1 Account Responsibility

You may access certain features of the Service as a registered user (“Member”) or as a visitor (“Visitor”). These Terms apply regardless of whether you create an account.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

You agree to:

  • Provide accurate and complete registration information;
  • Maintain the security of your credentials;
  • Notify us promptly of any unauthorized access or suspected security breach.

We are not liable for losses resulting from unauthorized use of your account where such use results from your failure to maintain account security.

4.2 Third-Party Account Integration

The Service may allow you to register, log in, or link your account using third-party services (such as Google or Facebook).

By linking such accounts, you represent that:

  • You are the lawful owner of the third-party account;
  • You have the authority to authorize such linkage.
  • The Platform is not responsible for:
  • The acts or omissions of third-party account providers;
  • The accuracy, legality, or security practices of such providers.

If permitted by your third-party account settings, certain information may be imported to facilitate account functionality, subject to our Privacy Policy.

4.3 Security Measures

We implement reasonable administrative, technical, and organizational measures to protect account information. However, no system is completely secure.

You remain responsible for safeguarding your credentials and devices.

Where reasonably necessary, we may suspend or restrict accounts to protect you or the integrity of the Service.

Nothing in this Section limits non-waivable statutory rights under applicable law.

5. Rewards
5.1 Promotional Nature

Rewards (including Cash Back, Bonus, Gold) are promotional incentives funded from affiliate commissions.

Rewards:

  • Are conditional and contingent;
  • Do not constitute wages, deposits, stored value, or property rights;
  • Do not represent funds held on your behalf;
  • Do not create a debtor-creditor, fiduciary, custodial, escrow, or financial services relationship;
  • Are non-transferable and may not be sold, assigned, or pledged.

Rewards remain conditional unless and until redemption is fully completed in accordance with these Terms.

Meeting a redemption threshold does not automatically create an unconditional right to payment. Rewards remain subject to merchant confirmation, affiliate network validation, reversal policies, and compliance review.

Redemption review does not constitute acknowledgment of debt.

5.2 Redemption Conditions

Before Rewards become redeemable:

  • The merchant must confirm the transaction;
  • Any return or cancellation period must expire;
  • The affiliate network must validate and settle the commission;
  • Internal verification and compliance review must be completed.

Redemption may be delayed due to reconciliation cycles, settlement timing, or compliance review.

If a merchant or affiliate network reverses or declines commission, the associated Reward shall automatically be invalid.

5.3 Cash Back Tracking and Eligibility

Cash Back rewards depend on successful tracking of a qualifying transaction through the Coupert Service.

To receive Cash Back, the purchase must be tracked and attributed to Coupert by the merchant or the applicable affiliate network.

Cash Back may not be tracked or awarded in certain circumstances, including but not limited to:

    1. Cash Back was not activated through the Coupert Service before completing the purchase.

    2. Other Cash Back, reward, or coupon programs from third parties were used during the same transaction.

    3. Browser settings, ad-blocking software, or disabled third-party cookies interfered with transaction tracking.

    4. Gift cards, store credits, or similar payment methods were used in cases where the merchant does not support Cash Back for such purchases.

    5. The order was modified, cancelled, refunded, or exchanged after the purchase.

    6. Certain merchant or marketplace interactions may interrupt affiliate attribution, including direct communication or custom transactions with sellers.

    7. Technical limitations or failures of affiliate tracking technologies occurred.

Where multiple coupon services, cash back programs, or similar reward platforms are used for the same purchase, only one service may receive credit for the transaction. Coupert cannot guarantee that a transaction will be attributed to the Service in such circumstances.

Displayed Cash Back rates (including expressions such as “Up to X%”) represent estimated or maximum potential reward rates. Actual rates may vary depending on the merchant, product category, order value, promotional conditions, or other merchant policies.

Because Coupert may not have access to item-level purchase information at the time of purchase, the final Cash Back amount may not be determined until the merchant or affiliate network confirms the transaction.

Cash Back amounts are generally calculated based on the final purchase amount excluding taxes, shipping costs, discounts, gift-wrapping fees, store credits, returns, cancellations, extended warranties, or purchases of gift cards unless otherwise specified by the merchant.

The maximum Cash Back reward for a single order may be limited to USD $200 unless otherwise stated.

Cash Back typically remains in a pending status for a period determined by the merchant or affiliate network (generally between approximately 30 and 120 days) before it becomes confirmed and eligible for redemption.

If a user requests withdrawal and subsequently returns or exchanges the purchased items, Coupert may reverse or reject the corresponding withdrawal to the extent permitted by applicable law.

5.4 Reward Expiration and Account Status

You may view detailed information regarding your Rewards through the “My Cash,” “My Gold,” or similar sections of the Service.

Certain Rewards require affirmative user action to claim. Where applicable, a Reward must be claimed within seven (7) days from the time of issuance. Rewards not claimed within this period will expire and become void.

The Platform maintains an inactivity expiration mechanism. If an account remains inactive for twelve (12) consecutive months, accumulated Rewards may be adjusted, deducted, or cleared, subject to applicable law.

Gold Expiration: From the date of issuance, if Gold remains unused or unconverted into balance for more than twelve (12) natural months, such Gold will expire.

Cash Back Expiration: Once Cash Back reaches confirmed and withdrawable status, if it is not withdrawn (for example, via PayPal or gift card redemption) within twenty-four (24) natural months, the corresponding Cash Back will expire and the account balance will be adjusted accordingly.

Bonus Expiration: Once a Bonus reaches confirmed and withdrawable status, if it is not withdrawn within twenty-four (24) natural months, the corresponding Bonus will expire and the account balance will be adjusted accordingly.

If you delete your account, any unredeemed, unused, pending, or withdrawable Rewards or benefits may be forfeited and removed from your account balance.

All expiration rules reflect the promotional nature of Rewards. Rewards do not constitute deposits, stored value, property rights, or financial instruments.

Nothing in this Section limits rights that cannot be waived under applicable law.

5.5 Transparency and User Awareness

We strive to operate the Service in a transparent and user-aware manner.

You can access relevant information regarding Reward status, transaction history, eligibility conditions, and general program explanations through your account dashboard and our Help Center, including transparency-related materials available at:

Where Rewards are delayed, reversed, withheld, or deemed ineligible, such outcomes are generally based on merchant validation, affiliate network determinations, return or cancellation activity, or compliance review under these Terms.

We may publish explanatory materials regarding Reward eligibility, tracking mechanisms, attribution principles, or compliance review processes in our Help Center or related documentation. Such materials are intended to enhance transparency and user understanding.

Help Center materials are interpretative and supplementary in nature and do not modify or expand the contractual obligations set forth in these Terms. In the event of any inconsistency, these Terms shall prevail.

Nothing in this Section creates additional contractual obligations beyond those expressly stated in these Terms.

6. Intellectual Property, Fair Use, Security & Anti-Abuse
6.1 Intellectual Property

The Service and all related content, software, technology, trademarks, logos, designs, and materials are owned by or licensed to the Platform and are protected by applicable intellectual property laws.

Subject to these Terms, the Platform grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for personal, non-commercial purposes.

No ownership rights are transferred to you.

Except as expressly permitted by these Terms or applicable law, you may not reproduce, distribute, modify, create derivative works of, publicly display, sell, sublicense, or otherwise exploit any portion of the Service.

6.2 Fair Use, Security & Anti-Abuse

The Service is intended for personal, non-commercial consumer use.

You agree not to use the Service in any manner that:

  • Violates applicable laws or regulations;
  • Infringes intellectual property or other rights of any person or entity;
  • Compromises the security of your account or another user’s account;
  • Attempts to gain unauthorized access to accounts, passwords, systems, or security information;
  • Uses automated tools, bots, scraping technologies, or artificial traffic without authorization;
  • Interferes with or disrupts the normal operation, integrity, or infrastructure of the Service;
  • Reverse engineers, decompiles, modifies, or attempts to derive source code or underlying components of the Service, except to the extent expressly - permitted by applicable law;
  • Circumvents, disables, or interferes with security or content protection mechanisms implemented by the Platform;
  • Creates synthetic, duplicate, coordinated, or fraudulent accounts;
  • Engages in self-referrals, circular transactions, or transactions lacking genuine consumer intent;
  • Exploits technical or operational vulnerabilities to generate ineligible Rewards.

We maintain structured compliance and fraud-prevention systems, including automated risk scoring and behavioral analysis. We are not obligated to disclose internal detection methodologies or thresholds.

Where reasonably necessary and proportionate to protect the Service, merchants, affiliate networks, or other users, we may suspend, restrict, withhold Rewards, reverse Rewards, or terminate access in response to violations of this Section.

You may be responsible for losses arising from affiliate clawbacks or reversals caused by violations of these Terms.

7. Coupon & Price Comparison

Coupon and price comparison features provided through the Service are informational tools intended to help users identify potential savings across merchants.

Coupert may collect publicly available coupons, vouchers, promotional codes, and special offers from the internet or partner retailers, and may update such information periodically. Where technically supported, users may initiate automated coupon testing during checkout to identify potentially applicable coupons for their purchase.

The Service may also display price comparison information relating to products or services offered by different merchants or shopping platforms to help users understand available purchasing options.

Coupon availability, pricing information, and promotional offers may change at any time. Applying coupons, discount codes, or offers during checkout may not always result in savings.

By using coupon or price comparison features, you acknowledge and agree that:

7.1 Lawful Use

You must use the Service in compliance with applicable laws and these Terms.

7.2 Changes in Product Information

Product information displayed through the Service, including prices, availability, and promotions, may change at any time. Users should verify final product details directly on the merchant’s website before completing a purchase.

7.3 Coupon Limitations

Coupons and discount codes may be subject to exclusions, limitations, and additional merchant terms. Their effectiveness may vary depending on factors such as cart contents, order value, or product restrictions.

7.4 Merchant Evaluation

Coupert may provide informational references relating to merchants. Such information is provided for reference only. Users remain responsible for evaluating merchants and deciding whether to complete a purchase.

7.5 Pricing Differences

Displayed price comparisons may not always reflect the final price payable at checkout due to merchant pricing structures, packaging, promotions, or other factors.

7.6 No Guarantee of Savings

Coupert does not guarantee that users will obtain the lowest price or any savings for a particular purchase.

7.7 User Responsibility for Transactions

Any purchase made through a merchant website is a transaction between the user and the merchant. To the maximum extent permitted by applicable law, the Platform is not responsible for losses arising from transactions with third-party merchants.

8. Promotional Programs
8.1 Membership Services (Coupert Plus)

The Platform may offer optional subscription-based membership programs.

Membership benefits:

  • Do not guarantee merchant approval;
  • Do not guarantee Reward eligibility;
  • Do not override affiliate attribution rules;
  • Do not create financial return expectations.

Subscriptions may automatically renew unless canceled prior to renewal, subject to applicable law.

Local consumer protection laws apply where required.

8.2 Referral Bonus Program

The Platform may offer referral or invitation programs from time to time.

Participation is subject to these Terms and any additional program-specific rules published on the Service.

Referral bonuses:

  • Are promotional incentives;
  • Are conditional and subject to verification;
  • May be withheld, reversed, or revoked in cases of suspected abuse or violation of these Terms.

Referral programs are intended for personal, non-commercial use. You may not:

  • Refer yourself or coordinated accounts;
  • Create synthetic or automated accounts;
  • Engage in bulk or commercial promotion without authorization;
  • Exploit technical or operational vulnerabilities.

The Platform may modify, suspend, or terminate any referral program at any time.

Nothing in this Section creates a vested legal or financial right to Referral Bonuses.

8.3 Other Promotional Campaigns

The Platform may introduce additional promotional campaigns or limited-time incentive programs.

Unless otherwise stated, such programs:

  • Are governed by these Terms;
  • Are conditional and subject to verification;
  • May be modified, suspended, or discontinued at any time.

Program-specific details will be published on the Service.

9. Privacy

We take your privacy seriously. Our collection and use of personal data are governed by our Privacy Policy, available at:

The Privacy Policy explains what information we collect, how we use it, how it may be shared with affiliate partners and service providers, and your rights under applicable data protection laws.

The Service may process information you provide, as well as technical and transaction-related data generated through your use of the Service, including data necessary to determine Reward eligibility.

When you visit third-party websites through links provided by the Service, those sites operate independently.

10. Sanctions & Export Compliance
  • You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions or export restrictions under applicable laws.
  • The Service may not be used in violation of sanctions or export control laws.
11. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless COUPERT PTE. LTD., its officers, directors, employees, and affiliates from and against any third-party claims, losses, liabilities, damages, judgments, settlements, and reasonable legal fees arising directly from:

  • your violation of these Terms;
  • your violation of applicable laws or regulations;
  • your infringement of any third-party rights; or
  • your fraudulent, abusive, or unlawful conduct in connection with the Service.

This indemnification obligation applies only to the extent that such claims or losses are caused by your conduct and does not apply to the extent they arise from the Platform’s own gross negligence, willful misconduct, or violation of applicable law.

Nothing in this Section limits non-waivable consumer rights under applicable law.

12. Disclaimer

The Service is provided “as is” and “as available.”

We do not guarantee uninterrupted operation, successful coupon application, or approved Rewards.

Nothing excludes liability where prohibited by law.

13. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect or consequential damages, loss of anticipated savings, merchant decisions, or affiliate network determinations.

Nothing limits liability for fraud, willful misconduct, gross negligence, or non-waivable statutory rights.

14. Customer Support and Complaints

If you have any questions, concerns, or complaints regarding the Service, your account, or Rewards, you may contact us through the following support channels:

You may submit inquiries, support requests, or complaints through these channels. We will review such requests in accordance with our internal procedures and respond within a reasonable timeframe where appropriate.

Submitting a support request or complaint does not waive any rights you may have under applicable law.

15. Governing Law and Dispute Resolution
15.1 Governing Law

Except as otherwise required by mandatory local law:

  • U.S. users: governed by the laws of the State of California, except to the extent mandatory federal or state law applies.
  • EU/UK users: governed by applicable consumer protection laws of your country of residence.
  • All other jurisdictions: governed by the laws of the Platform’s principal place of business unless mandatory local law provides otherwise.

Nothing limits non-waivable statutory rights.

15.2 Informal Resolution

Before initiating arbitration or court proceedings, the parties agree to attempt to resolve disputes informally for at least thirty (30) days. Users may submit dispute notices through the support channels described in Section 14 (Customer Support and Complaints).

15.3 Arbitration – United States Users

If you are located in the United States, disputes shall be resolved by binding arbitration on an individual basis, except where prohibited by law.

To the fullest extent permitted by law:

  • You waive the right to a trial by jury;
  • You waive participation in class or representative actions.

Either party may seek injunctive relief in a court of competent jurisdiction where necessary.

15.4 EU and UK Users

EU/UK users may bring disputes before competent local courts.

Nothing requires arbitration where unenforceable.

Statutory consumer rights remain unaffected.

15.5 International Users (All Other Jurisdictions)

Users outside the U.S., EU, and UK:

  • Disputes shall be resolved in the courts or through arbitration in the jurisdiction of the Platform’s principal place of business, unless mandatory local law provides otherwise.
  • Where arbitration is permitted, it shall be conducted on an individual basis.

If unenforceable locally, disputes shall be resolved in competent local courts.

15.6 Severability of Dispute Provisions

If any part of this Dispute Resolution section is unenforceable in a specific jurisdiction, it shall be limited or severed to the minimum extent required.

16. Service Modifications

We may modify or discontinue features to comply with legal, regulatory, affiliate network, or operational requirements.

Material changes will be communicated through the Service or other appropriate channels where required by law.

17. Miscellaneous
17.1 Assignment

    You may not assign or transfer these Terms without our prior written consent.

    We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law.

17.2 Force Majeure

    We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, regulatory actions, system failures, or third-party service disruptions.

17.3 Severability

    If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.4 Entire Agreement

    These Terms, together with the Privacy Policy and any policies referenced herein, constitute the entire agreement between you and the Platform regarding the Service and supersede prior agreements or understandings.

17.5 Waiver and Relationship of the Parties

    Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

    Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and the Platform.
